XTM Inc. and Everyday People Payments Inc. - Notice of Sale and Investment Solicitation Process

On February 27, 2026, XTM Inc. (“XTM”) and Everyday People Payments Inc. were granted an initial order (as amended and restated) under the Companies’ Creditors Arrangement Act by the Ontario Superior Court of Justice (Commercial List) (the “Court”). The Fuller Landau Group Inc. was appointed Monitor. On April 10, 2026, the Court authorized and directed the Monitor with the assistance of XTM and its Chief Restructuring Officer to undertake a sale and investment solicitation process (the “SISP”).

XTM is a Canadian‑founded financial technology company that provides customers with a software system enabling merchants, primarily in the hospitality, personal care, retail, and service sectors, to distribute earnings to workers in real time. The Applicants’ flagship product is the EveryDay Platform and mobile app that enables businesses throughout Canada to drive real-time delivery of employee earnings through an employer portal providing workers access to their funds instantly through a mobile app and associated payment card. The platform also includes tools for tip pooling calculation, point-of-sale integration, time‑and‑attendance integration, and financial reporting.  XTM’s US platform is unique to the US market and includes Earned Wage Access software integrated with time and attendance and payroll providers.

The SISP is intended to solicit interest in, and opportunities for, a sale of, or investment in, all or part of XTM’s assets and business operations (the “Opportunity”). The Opportunity may include one or more of a restructuring, recapitalization or other form or reorganization of the business and affairs of XTM as a going concern, or a sale of all, substantially all or certain of XTM’s assets and business operations.
