WESTERN POTASH CORP. SALE AND INVESTMENT SOLICITATION PROCESS

On August 21, 2026, Western Potash Corp., Western Potash Holdings Corp., and 0907414 B.C. Ltd. (collectively, the "Company”) were granted protection pursuant to an order (as amended from time to time, the “Initial Order”) issued under the Companies’ Creditors Arrangement Act (Canada) (the “CCAA”) by the Supreme Court of British Columbia (the “Court”). Pursuant to the Initial Order, among other things, FTI Consulting Canada Inc. was appointed as the monitor of the Company in its CCAA proceedings (the “CCAA Proceedings”) with certain enhanced powers, including, among other things, the exclusive power and authority to manage, operate, and carry on the business of the Company and to execute documents in the name of the Company, which enhanced powers are to be exercised to the exclusion of the Company and all other persons (in such capacity, the “Monitor”). On August 31, 2026, the Court authorized and directed the Monitor to undertake a sale and investment solicitation process (the “SISP”).

The SISP is intended to solicit interest in, and opportunities for: (i) a sale of all or substantially all the assets of the Company (whether in a single transaction or combination of transactions); and/or (ii) an investment in or restructuring of the Company. The SISP sets forth the manner in which interested parties will be provided with an opportunity to participate in the SISP and submit offers, including receipt of (i) a process summary (the “Teaser Letter”) describing the opportunity, outlining the process under the SISP, and inviting recipients of the Teaser Letter to express their interest pursuant to the SISP; (ii) access to a virtual data room upon execution of a non-disclosure agreement, in each case in form and substance satisfactory to the Monitor; and (iii) applicable deadlines for the submission of offers. All interested parties are encouraged to submit offers based on any form of opportunity that they may elect to advance pursuant to the SISP. The deadline for Qualified Phase 1 Bidders to submit non-binding letters of intent under Phase 1 of the SISP is set for October 21, 2026 at 5:00 p.m. (Vancouver Time). The deadline for Qualified Phase 2 Bidders to submit a Phase 2 binding bid is set for December 7, 2026. Interested parties should refer to the Monitor’s website for information pertaining to other important deadlines and processes thereunder.

All inquiries, communications, and correspondence in respect of the SISP or the Company’s business and assets should be directed exclusively to the Monitor and not to the Company or any of its representatives and advisors in light of the enhanced powers granted to the Monitor by the Court under the Initial Order.
