Riley Farber Inc., in its capacity as Court-appointed monitor (the “Monitor”) of each of Pluribus Technologies Corp., Pluribus Technologies Canada Inc., SkilSure Inc., ICOM Productions Inc., Pathways Training and eLearning Inc., Kesson Group Inc. and Kesson Group Holdings Limited, Crescere Frameworks, LLC o/a The Learning Network, LogicBay Corporation, SkilSure Software Limited, Kesson Group UK Limited, Kesson Group Albania SHPK, Kesson Group Services, Inc., Pluribus USA Inc., Social5, LLC and Knowledge Strategies, Inc. o/a Tortal Training (collectively, the “Companies”) pursuant to an Order of the Ontario Superior Court of Justice (Commercial List) under the Companies' Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the “CCAA”), is, with the assistance of the Companies, conducting a sale and investment solicitation process (“SISP”) to solicit interest in, and opportunities for, a sale of, or investment in, all or part of the Companies’ assets and business operations

Pluribus Technologies Corp. (TSX:PLRB) is a publicly traded company specializing in acquiring small, profitable software companies. Pluribus is the ultimate parent to other 15 Companies. The Companies are in the eLearning and Education Technology (EdTech) and eCommerce Space.

The Pluribus portfolio includes three key revenue drivers: The Learning Network (“TLN”), Social5, and Kesson Group.

TLN is comprised of six businesses which provide integrated online learning software and digital training services to over 350 customers. Kesson Group provides a suite of services which includes alternative teacher certification programs, a teacher recruitment and jobs platform, and an online tutoring platform through the brands Teach Away, Skooli and Klassroom. Social5 is a technology-based social media marketing agency that uses a combination of proprietary technologies and industry-leading talent to provide affordable marketing solutions to small businesses.

Potential bidders must submit a binding offer, in the form of a fully executed purchase and sale agreement, by no later than February 18, 2025, at 4:00pm EST.
