OMNI Conversion Technologies Inc. - SISP

OMNI Conversion Technologies Inc. (“OMNI” or the “Company’), a clean-energy technology company focusing on waste conversion technology, filed a Notice of Intention to Make a Proposal on November 19, 2024. OMNI develops and sells a proprietary waste conversion system, the Omni200 Gasification and Plasma Refining System, which converts solid energetic material (municipal waste) into synthetic gas, which can then be further converted into hydrogen, natural gas, aviation fuel, or biochemicals, or alternatively, can be combusted directly to generate electricity. On November 29, 2024, the Ontario Superior Court of Justice (Commercial List) granted an order authorizing the Company to undertake a sale and investment solicitation process (“SISP”) to solicit interest in, and opportunities for: (i) one or more sales or partial sales of all, substantially all, or certain portions of OMNI’s business; and/or (ii) for an investment in, restructuring, recapitalization, refinancing or other form of reorganization of OMNI or its business (the “Business”).

Grant Thornton Limited, in its capacity as Proposal Trustee, is hereby soliciting offers for OMNI’s Business.
