Magnum Worldwide Holdings Inc. and Magnum Nutraceuticals Inc.

MNP Ltd. acts as the receiver (the “Receiver”) in respect of certain assets, undertakings, and properties (the “Property”) of Magnum Worldwide Holdings Inc. (“Magnum Worldwide”) and Magnum Nutraceuticals Inc. (“Magnum Nutraceuticals”, collectively, the “Companies”) pursuant to an Order (the “Receivership Order”) granted by the Ontario Superior Court of Justice On October 6, 2025. The Receiver was appointed for the limited purpose of supervising the debtor-in-possession operations of the Companies and implementing a Sale and Investor Solicitation Process (the “SISP”).

Magnum Worldwide is the parent company to Magnum Nutraceuticals, which formulates sports nutrition formulas (the “Business”) that are then sent to manufacturers (in Canada) with licensing and quality standards to handle the manufacturing process. Magnum directly distributes its sports supplements within Canada and in over 20 countries internationally (from where they are further distributed).

The Companies offer an array of products, including premium supplements (protein, fat burners, intra-workout, muscle-builders, nootropics, pre-workout, test boosters and single serve). Distribution is supported by a third-party logistics network with Canadian warehouses in Vancouver, British Columbia and Toronto, Ontario and U.S. warehouses in Charlotte, North Carolina and Las Vegas, Nevada.

On October 24, 2025, the Court granted an Order that, among other things, (i) approved the terms of a stalking horse purchase agreement (the "Stalking Horse Agreement") between the Receiver 1001325230 Ontario Inc. and (ii) approved the SISP. The SISP is intended to allow interested parties to submit binding bids for transaction alternatives that are superior to the sale transaction provided for in the Stalking Horse Agreement.
