JointCraft Inc. - SISP

On January 9, 2026 (the “NOI Filing Date”), JointCraft Inc. (“JointCraft” or the “Company”) filed a Notice of Intention to Make a Proposal (“NOI”) pursuant to section 50.4(1) of the Bankruptcy and Insolvency Act, R.S.C. 1985, c. B-3, as amended (the “BIA”). Harris and Partners Inc. was appointed as proposal trustee under the NOI (in such capacity, the “Proposal Trustee”).

JointCraft is a licensed cannabis contract manufacturer that specializes in the production of pre-assembled cannabis products, including pre-rolls, premium vapes, and edibles (collectively, the “Cannabis Products”). The Company operates from a leased 60,000 square foot facility located in Vaughan, Ontario (the “Vaughan Facility”). The Company is licensed by Health Canada to manufacture the Cannabis Products at the Vaughan Facility.

On February 17, 2026, the Court authorized and directed JointCraft, in consultation with the Proposal Trustee, to undertake a sale and investment solicitation process (the “SISP”). The SISP is intended to solicit offers for (i) the sale of some or all of the Company’s assets, properties and undertakings or the Business’ outstanding shares, or; (ii) an investment in, restructuring, recapitalization, refinancing or other form of reorganization of the Company, or (iii) any combination thereof (collectively, the “Opportunity”).

All qualified interested parties will be provided with an opportunity to participate in the SISP. The SISP is a single-phase process with the Bid Deadline set for March 13, 2026 at 5:00 pm (Eastern Time). It is anticipated that the successful bid(s) will be selected by March 17, 2026, subject to an auction where necessary, and that closing of the transaction(s) will occur by April 3, 2026.
