Final Bell files for bankruptcy with $46.6 million owed
Cannabis services company reports only $3 in assets as its US operating subsidiaries face foreclosure

Final Bell Holdings International Ltd., a Vancouver-based cannabis services and hardware company, made a voluntary assignment in bankruptcy on July 28, 2026. Its statement of affairs lists approximately $46.6 million in liabilities against assets with an estimated realizable value of $3, leaving a deficiency of approximately $46.6 million.
Almost the entire debt is attributed to Jumper8 Limited, which is listed with an unsecured claim of approximately $45.5 million and a secured claim of $3. The remaining unsecured creditors include former director Kay Jessel, listed with a board-fee claim of approximately $160,000, and several Canadian and US legal, accounting and advisory firms. No preferred claims or contingent liabilities are reported.
Final Bell operated as a cannabis services company focused on product innovation, brand development, hardware manufacturing and supply-chain management. Its operations included 14th Round, a vaporization-device business serving the United States and Canada. The company sold its Canadian operations to BZAM Ltd. in January 2024, leaving Final Bell’s remaining operating subsidiaries concentrated in the United States.
The company attributed its financial difficulty to legal matters involving proceedings concerning its subsidiaries. Final Bell also said that it had spent several years considering alternatives and engaging with international conglomerates and strategic investors, but none of those discussions produced a viable transaction. With no remaining funding source, its board concluded after consulting legal counsel and the proposed trustee that an assignment in bankruptcy was the only available option.
Final Bell’s US operating subsidiaries are now undergoing a strict foreclosure process under Article 9 of the Uniform Commercial Code at the direction of the company’s senior secured lender.
Jessel, Final Bell’s remaining director, resigned effective July 27, 2026. The company also said it will not file its audited financial statements or related continuous-disclosure documents and expects Canadian securities regulators to issue a cease trade order.
