On June 10, 2026, CanadaBis Capital Inc. ("CanadaBis" or the "Company") and its subsidiaries, Stigma Pharmaceuticals Inc. (“Stigma Pharmaceuticals”), 2103157 Alberta Ltd. (“210”), Full Spectrum Labs Ltd. (“Full Spectrum”), and 1998643 Alberta Ltd. (“199”) (collectively, the "CanadaBis Group") received approval from the Court of King’s Bench of Alberta (the "Court") under the Companies' Creditors Arrangement Act (the "CCAA") for the implementation of a Sale and Investment Solicitation Process (“SISP”) to be conducted by FTI Consulting Canada Inc., as Court-appointed monitor of the CanadaBis Group (the "Monitor").
The SISP is intended to solicit interest in, and opportunities for: (i) an investment in, restructuring, recapitalization, refinancing or other form of reorganization of the CanadaBis Group or their business; and/or (ii) one or more sales or partial sales of all, substantially all, or certain portions of the property or the business of the CanadaBis Group. The SISP sets forth the manner in which interested parties will be provided with an opportunity to participate in the SISP and submit offers, including receipt of (i) a process summary (the “Teaser Letter”) describing the opportunity, outlining the process under the SISP, and inviting recipients of the Teaser Letter to express their interest pursuant to the SISP; (ii) access to a virtual data room upon execution of a non-disclosure agreement, in each case in form and substance satisfactory to CanadaBis and the Monitor; and (iii) applicable deadlines for the submission of offers. All interested parties are encouraged to submit offers based on any form of opportunity that they may elect to advance pursuant to the SISP.
The deadline for Qualified Phase 1 Bidders to submit non-binding letters of intent under Phase 1 of the SISP is set for July 15, 2026 at 5:00 p.m. (Mountain Time). The deadline for Qualified Phase 2 Bidders to submit a Phase 2 binding bid is set for August 10, 2026 at 5:00 p.m. (Mountain Time). Interested parties should refer to the Monitor’s website for information pertaining to other important deadlines and processes thereunder.
