Acquisition Opportunity - Purcell Golf Course

MNP Ltd. (“MNP”) was appointed by the Supreme Court of British Columbia (“Court”) as receiver and manager (the “Receiver”) of the assets, undertakings and property (collectively, the “Assets”) of each of Purcell International Education Limited and Purcell Golf Incorporated (collectively, the “Debtors”) on September 22, 2025.

The Receiver is offering the Assets for sale in accordance with a Sale and Investment Solicitation Process (“SISP”) as further outlined below.

Available Assets include the right, title, and interest in the business operations and assets of the Purcell Golf Course. The Receiver is inviting qualified parties to participate in the SISP.

Purcell Golf, home of the historic Kimberley Golf Club, represents a rare opportunity to acquire a mountain golf destination located in Kimberley, British Columbia. The property is set between the Purcell and Rocky Mountain ranges and bordered by the St. Mary’s River.

The property features an 18-hole championship golf course, a clubhouse, pro shop, and an on-site restaurant (which was leased to an independent operator for the 2025 season), offering multiple revenue streams through green fees, memberships, retail sales, food and beverage operations, and event hosting.

The club offers diverse membership programs, including adult, junior, family, and community-specific passes.

Sale and Investment Procedure

A summary of the SISP, including process steps and timing is tabled below:

• Milestone 1. Marketing Process and Due Diligence Period - Starting October 17, 2025

• Milestone 2. Final Bids - November 28, 2025

• Milestone 3. Hearing of Approval Motion, subject to Court Availability - January 15, 2026

• Milestone 4. Closing date for the Successful Bid - January 30, 2026

The bid deadline for initial non-binding letters of intent is 4 pm (Pacific Time) on November 28, 2025, delivered to the Receiver at the email address shown below.

A data room has been prepared for review by participants in the SISP. Potential Bidders who wish to be participants in this SISP must deliver the following to the Receiver:

• An executed Non-Disclosure Agreement;

• Identification of the participant and any principals, and the representatives thereof who are authorized to appear and act on their behalf for all purposes regarding the contemplated transaction.
